NOW, THEREFORE, THIS AGREEMENT WITNESSETH that, in consideration of the mutual covenants contained herein, the Parties hereto agree as follows:

1. DEFINITIONS

1.1. Definitions. Capitalized terms in this Agreement will have the following meanings: “Agreement” means this Software and Database License Agreement between Us and You; “Licensed Software and Database” means access to the FIC RECALL REPORTER being provided to You under this Agreement, including all data contained in the FIC RECALL REPORTER, the selection, coordination and arrangement of all data contained in the FIC RECALL REPORTER as well as related documentation and computer readable media; Other capitalized terms have the meanings defined in this Agreement.

2. SOFTWARE LICENSE, RIGHTS & RESTRICTIONS

2.1 Software and Database License and Rights. In consideration of the mutual covenants, and subject to the provisions contained in this Agreement, We hereby grant to You a revocable, non-exclusive License to view only the FIC RECALL REPORTER and the data contained therein as provided under the License Agreement. 2.2 Restrictions. You will use the Licensed Software and Database only for purposes set forth herein, and, further, You expressly agree that You DO NOT have rights to: (a) own title, or transfer title to the Licensed Software and Database to another party; (b) distribute, or sublicense or otherwise provide copies or any rights in relation to the Licensed Software and Database to any third party; (c) modify, enhance, reverse-engineer, decompile, disassemble or create substantially derived forms of the Licensed Software and Database; (d) download other than for view-only, the data contained in the Licensed Software and Database; (e) reproduce, republish, or modify the data contained in the Licensed Software and Database without the express written consent of Food Industry Counsel, LLC. 2.3 Our Obligations. Upon execution of this Agreement, We will permit You to view only a copy of the most current version of the Licensed Software and Database for Your use under this Agreement.

3. COPYRIGHT AND MARKS

3.1 Copyright. The Licensed Software and Database, including any documentation, media, packaging and illustrations, data and data formatting including data selection, coordination and arrangement, is copyrighted and constitutes Our valuable property. The Licensed Software and Database is protected under United States copyright laws and international treaty provisions. 3.2 Trade-marks. Certain logos, product names and trade-marks owned by Us, including FIC RECALL REPORTER and Food Industry Counsel may be contained within electronic manifestations of the Licensed Software and Database. You will have no right to use such marks except for providing attribution to US.

A look at the nutrition label for SunnyD's Tangy Original reveals a drink loaded with chemical additives and preservatives, giving it 190 milligrams of sodium and 14 grams of sugar (including 12 grams of added sugar) per serving, amounting to 60 calories total — that's for one glass alone. As its label claims, SunnyD "contains 5% juice." The only "natural" ingredients aside from the juice concentrate are canola oil and cornstarch. The nutrition breakdown of an 11.3-ounce glass of SunnyD, as shared on Fooducate, also points out that one glass will account for 10% of one's daily intake of sodium, 27% of sugars, and 48% of added sugars.
